SheetWallet Terms of Service

Agreement

These Terms of Service are an agreement between you and Winter Advisory LLC d/b/a SheetWallet ("SheetWallet," "we," "us," or "our"). SheetWallet is the name of our personal finance spreadsheet product. By accessing or using SheetWallet, you agree to these Terms and our Privacy Policy.

These Terms are designed for US consumers. If you use SheetWallet for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Eligibility and account security

You must be at least 18 years old and able to form a binding contract to use SheetWallet. You are responsible for your Google account, your financial institution accounts, your devices, your SheetWallet sessions, and all activity under your account. Notify us promptly if you believe your account, spreadsheet, or connected account access has been compromised.

What SheetWallet provides

SheetWallet lets you connect financial accounts through Plaid, select accounts, create SheetWallet-managed Google Sheets, and use WALLET formulas and sync features for personal finance workflows. SheetWallet is a software automation and spreadsheet workflow service. It is not a bank, broker-dealer, investment adviser, lender, money transmitter, accountant, tax preparer, financial planner, or fiduciary.

Your data, providers, and authorization

You authorize SheetWallet to use the Google, Plaid, and other provider access you approve to provide the features you request, including sign-in, Plaid account connection, account selection, spreadsheet creation, Apps Script installation, workspace bootstrap, spreadsheet opening, and sync. You can revoke provider access through SheetWallet disconnect controls, Google, your financial institution, Plaid-supported controls, or by contacting us.

Google, Plaid, Polar, your financial institutions, and other third-party services are independent services with their own terms, privacy policies, outages, limits, and data practices. SheetWallet is not responsible for third-party services, their data, their decisions, or their availability.

Your responsibility for outputs

SheetWallet may display or sync balances, transactions, categories, formulas, references, spreadsheet examples, and other outputs. These outputs may be delayed, inaccurate, incomplete, duplicated, missing, miscategorized, interrupted by provider outages, affected by spreadsheet edits, or changed by sync behavior. You are solely responsible for reviewing data, formulas, assumptions, spreadsheet models, decisions, tax positions, investments, budgets, and any actions you take based on SheetWallet.

Billing, trials, cancellation, and refunds

Paid access, trials, subscriptions, payment methods, invoices, renewals, cancellations, and billing management are handled through Polar. Checkout and billing surfaces show the then-current plan, price, trial period, renewal terms, and cancellation options. If payment, trial, subscription, provider, or billing access is unavailable, SheetWallet may block spreadsheet creation, opening, formulas, Google authorization, or sync until access is restored.

Unless a checkout page, applicable law, or our written notice says otherwise, fees are non-refundable and cancellation stops future renewal rather than refunding prior charges.

Acceptable use

Do not misuse SheetWallet, access or attempt to access another user's data or workspaces, bypass billing or security controls, interfere with sync or provider systems, reverse engineer private APIs, scrape or overload the service, upload malicious content, violate third-party terms, use SheetWallet for unlawful activity, or use SheetWallet to provide regulated financial, investment, tax, accounting, lending, payment, or legal services.

Suspension and termination

We may suspend, limit, or terminate access if we believe you violated these Terms, created security or legal risk, misused provider access, failed to pay, or used SheetWallet in a way that could harm users, providers, or the service. You may stop using SheetWallet at any time and may request account deletion by contacting us.

Service changes and beta features

SheetWallet may change, suspend, or discontinue features, formulas, plans, providers, limits, and integrations as the product evolves. Some features may be experimental, beta, incomplete, or changed without notice. We may update these Terms by posting a revised version on this page.

Intellectual property

SheetWallet, including its software, design, formula runtime, examples, documentation, branding, and service content, is owned by Winter Advisory LLC or its licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use SheetWallet for your personal, non-commercial financial spreadsheet workflows. You retain rights in your own spreadsheets, models, and content.

No professional advice

SheetWallet does not provide financial, investment, tax, accounting, legal, credit, budgeting, lending, payment, or other professional advice. SheetWallet is not a substitute for professional advice, your own diligence, or records from your financial institution. You should consult qualified professionals before making decisions.

Disclaimers

SheetWallet is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Winter Advisory LLC, SheetWallet, and our owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost profit, lost data, financial loss, investment loss, tax loss, spreadsheet error, provider outage, or business interruption damages.

To the fullest extent permitted by law, our total liability for all claims relating to SheetWallet is limited to the greater of $100 or the amount you paid to SheetWallet for the service in the three months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless Winter Advisory LLC, SheetWallet, and our owners, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of SheetWallet, your spreadsheets or decisions, your connected accounts, your violation of these Terms, or your violation of law or third-party rights.

Disputes, arbitration, and class waiver

Before filing a claim, you and SheetWallet agree to try to resolve disputes informally by emailing andrew@winteradvisory.llc and allowing 30 days for a response. If a dispute is not resolved informally, it will be resolved by binding individual arbitration, except that either party may bring qualifying claims in small claims court.

You and SheetWallet waive the right to a jury trial and agree that disputes will be brought only on an individual basis, not as a class, collective, consolidated, private attorney general, or representative action. Delaware law governs these Terms, without regard to conflict-of-law rules.

Assignment and miscellaneous

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of SheetWallet. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
